Legal Counsel

NEC maintains a worldwide network of subsidiary companies, which includes operations in Europe where NEC performs various sales, manufacturing, and R&D functions.  Today, NEC Europe has more than 20 branches and subsidiaries throughout Europe, employing approximately 1500 personnel, located across Europe, Russia Africa and the Middle East. 

NEC Europe is the regional headquarters and responsible for the sales and marketing of Network Solutions products, High Performance Computing, IT Solutions products and services and Cloud computing products and services.


Role Purpose
Based in London or Madrid and part of the EMEA Legal team, the role requires the provision of legal support, primarily for commercial contracts (IT solutions, public safety products, supply of telecoms hardware and solutions), general legal risk management, legal training to staff, supporting application of legal and governance policies and compliance.


Key Responsibilities and Duties
  • To draft, review, negotiate and close all types of technology and telecom infrastructure agreements, working in conjunction with the relevant business managers in each part of the company’s business throughout Europe;
  • To identify and assess legal risk for non-standard contracts and advise the business accordingly;
  • To provide broad, operational legal support and risk assessment to the business;
  • To objectively analyse risks with ability and confidence, providing solutions quickly to satisfy legal and business requirements;
  • To effectively develop (either based on Group precedents or in accordance with local laws) and implement legal and governance policies, working where necessary with other departments within the company and throughout the Group;
  • To assist in different areas of Compliance, including legal assistance, training, improvements and drafting of policies and procedures;
  • To handle complex situations and transactions with limited supervision;
  • To provide legal advice to queries on an ‘as-needed’ basis, including compliance ones;
  • To assist in developing and drafting standard templates, ‘lessons learnt’ papers and internal guidelines/guidance notes;
  • To provide advice on, implement and enforce legal, compliance and corporate policies;
  • To provide training to the business teams and establish strong working relationships with relevant stakeholders (including internal clients, management, other business units and other members of the Group Legal community);
  • To pro-actively identify, interpret, apply and advise on relevant local laws (to the extent qualified although expected to also develop legal knowledge of other jurisdictions as the case may be); and
  • Identify legal issues in new business offerings;
  • Address legal issues in contracts and advise of potential risks;
  • Draft and negotiate legal documents;
  • Provide legal and compliance training (in line with the Group’s approach);
  • Develop and implement legal, compliance and governance policies;
  • Assist in project management issues (e.g. coordinating between various stakeholders and across multiple departments and business units).
  • To work effectively as a remote worker under hybrid working scheme.


Professional Skills and Knowledge
Essential:
  • Excellent legal knowledge, drafting and negotiation skills particularly in the ICT sector.
  • Communication skills / computer literacy.
  • Fluency in English in both written and oral forms.
  • Private practice experience or in-house experience in a multinational company (preferably blue chip companies)
  • Required operational experience includes:
    • Solid experience in the resolution of business issues (in the context of contract negotiation), drafting and supporting the negotiation of complex commercial contracts, ideally in a ICT environment across multiple jurisdictions;
    • Familiar and comfortable with technology contracts and associated issues with interest in the products and solutions offered;
    • Experience with public and private sector contracts.
    • Problem solving and decision making skills;
    • Excellent technical legal drafting;
  • Ability to deal with business colleagues, customers, suppliers and lawyers from different cultures/countries in a professional and courteous manner.
  • Adaptability, ability to liaise effectively with different cultures at all levels and throughout the Group;
  • Flexible thinker, able to take a practical, sensible and commercial approach to find commercial and creative solutions to meet business objectives whilst balancing legal risk;
  • All-round experience: commercial, technology (software licensing, systems integration, project management, telecommunications infrastructure and compliance;
  • Excellent written and verbal communication skills, good listener, highly responsive to internal clients and ability to handle pressure;
  • Significant influencing and diplomatic skills;
  • Pro-active, practical, “can-do” approach to problem solving;
  • Constructive and consultative team player;
  • Ability to multi-task, organise, communicate and prioritise work effectively and appropriately;
  • Ability to manage own workload: planning and monitoring own tasks and informing management of any material matters and risks;
  • Capable of keeping oneself motivated and engaged;
  • Strong attention to detail and commitment to quality.

Desirable:
  • Ability to assimilate and understand how new technology works.
  • Understanding of export control legislation.
  • Written and spoken fluency in French
  • Corporate law background desirable;
  • Knowledge of procurement law and experience with public sector are desirable.


Education or professional qualification
  • English-qualified solicitor/barrister (qualification obtained in the UK).
  • Second qualification in Europe (preference would be a French University degree in law).
  • Practising Certificate/Barrister.
